Election of Trustees

By Brian McMahon on Mon, 13 May 2019 at 10:14

At our last AGM, whilst calling for nominations for Trustees, two gentlemen were asked if they would step up, but were reluctant for various reasons, mostly time.

They did agree that they would be available, if needed urgently for any reason, including resignations of other Trustees causing a shortage.

It was suggested that they might then be referred to as "standby Trustees", or "on call" They would normally be available to email to participate approcal or denial of motions, of course.

They aslo agreed to make time to attend the first Trustees' meeting, in order to familiarize themselves with the matters discussed.

Now, the first meeting is scheduled for two days hence. Clearly the first item on the agenda will be to elect a chair for the year. Will the two gentlemen in question be allowed to propose, second and vote at that meeting ?

I believe that, whatever status in meeting attendance in the following year is intended, or achieved, they were nominated and elected at an AGM, even with that "provisional" agreement and they are, therefore, fill Trustees in fact and have full rights at any and all Trustees' meeting they manage to attend and have similar rights in email or other electronic means of communication.

I look forward to your comments on this.
