Spouse attendance SGM

By Lana Quinn on Sun, 22 Aug 2010 at 18:35

Can a spouse of a registered owner serve as a trustee? Can he take decisions iro matters relating to the calling of a special GM, set the agenda and then has the registered owner (Spouse) act as the secretariat while he attempts to chair the SGM? My understanding of Proxy vote is that only one spouse can vote and participate in any meeting. Is this correct?

Hi, Lana.
1. A spouse of an owner may serve as a trustees, if duly elected.
2. A single trustee or owner cannot call a SGM. The trustees by a majority decision may do so, and an 25% of the owners (by value) may also call a SGM.
3. The agenda would be included in the decision to call the SGM (i.e. by the trustees, or by the group of owners calling the meeting).
4. A Trustee, or any person delegated to do so by the trusees, may carry out the duties of secretary.
5. The Chairman normally chairs a SGM, but if not available the members present at the meeting decide who should Chair it.
6. Only owners of Sections or their proxies may vote at a general meeting. If spouses jointly own the section, only one of them may vote (and that one should have a proxy from the other).
