Hi, Magda. This is a very wide question. Could you give more detail of the actual circumstances?

From Magda Willemse on a duplicate post
Hi Anne
The main problem is that at a previous trustee meeting it was decided to get quotations for automation of the complex sliding gate, the installation of a hygenic refuse recepticle. These were obtained and emailed to the other trustees for decision making. The chairman is getting no response from the other two trustees - they are too busy. There are other matters to be finalised such as what amount of petty cash should be carried, what amount to pay the caretaker to reimburse her for telephone calls, petrol and the like. He is getting no response.

Hi, Magda. Is there any reason why the Chairman is trying to get decisions made by e-mail rather than call a Trustees' meeting? Or are the other trustees refusing to attend meetings?

Anne

It seems as if the other two Trustees just do not want to make the time to attend these meetings as they claim they are busy people. The Chairperson send them the emails because of this situation.

A round resolution is valid: PMR24.

The minimum for a trustees meeting quorum is 50% with sub-minimum of two trustees: PMR16(1)....Show More

Hi, Magda. The "round robin" method of getting Trustees' agreement to a proposal has to be signed by all the Trustees for the time being present in the Republic. This won't work for you if the two problem trustees do not answer e-mails.
Next question: what is the agreed total number of your Trustees? If you have a quorum without them, you can still go ahead and make decisions at a Trustees' meeting. If a quorum is not present within 30 minutes of the time appointed for the meeting, it is adjourned to next business day at the same time and the trustees then present - who shall not be less that two - form a quorum. This latter provision might well solve your problem.
I suggest it would be worth you while to read up on the Management Rules, which you will find on the Library pages of this site.
I must agree with Gerhard that people who are not prepared even to attend a meeting should not become trustees.
There is yet another Management rule which could help you. PMR 9(3) allows the trustees to appoint another person as an alternate trustees during the absence of inability to act of a trustee.

Anne and Gerhard

Thank you very much for your input in this matter. I also agree with Gerhard that people that does not have time, must not even stand to be trustees.Anne, this complex only have 3 trustees and hopefully we will be able to convince one (who's also very busy according to his email) to attend the meeting, which will then give them the 50% quorum.
