Trustee unprofessional actions

We have a new trustee member who is giving us endless problems. She writes letters to the owners without our approval (the other trustee members) and then badmouth the trustees. I personally phoned her to inform her that she has no mandate to act on her own. She even apologises for "decisions" we made at a trustee meeting (which she attended). We will be having a meeting soon. Any ideas how to address this problem. She has a "click" of friends inside the complex, which in the past could only critise the trustees. Now they have somebody who are representing them, but her actions are extremely unprofessional.

Hi, Hannetjie. When she was elected, was the new trustee given any information as to her rights and responsibilities under the Act? If not, this could be a starting point. Has she be given any specific task (or portfolio) as a Trustee? This might help to give her a specific focus, and make her feel part of the group. Just ideas.
Failing this, perhaps the Chairman should discuss her performance with her - better a one-on-one discussion to start with; before airing the matter at a Trustees' meeting (which could alienate her further).
Should the position become intolerable, a very last resort would be to call an SGM, with a proposal to remove her as a Trustee.

Thank you for the advice. We also determine that the person is currently under administration. Does this disqualify the person to be an trustee

Hi, Hannetjie, A trustee shall cease to hold office is he surrenders his esate as insolvent; or his estate is sequestrated. See PMR 13 which gives all the reasons for disqualification of a Trustee (you can read it on the Library pages of this site.)
